Alexandre Petit Holding Ltd is incorporated in England and Wales. References to "we", "us", or "the Club" refer to Alexandre Petit Holding Ltd. References to "you" or "member" refer to any person who accesses this website or applies for or holds membership of Dual Executive Club.

2. Acceptance of Terms

By accessing this website or submitting a membership application, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, please do not use this website or apply for membership.

We reserve the right to update these Terms at any time. Continued use of the website following any changes constitutes your acceptance of the revised Terms.

3. Nature of the Club

Dual Executive Club is a private, invitation-only international business club. Its purpose is to facilitate high-quality professional networking, business introductions, and co-investment opportunities between accomplished women and men on a strictly equal (50/50) basis.

Membership is a privilege, not a right. The Club is not a dating service, matrimonial agency, or regulated financial institution. Any business dealings, investments, or personal relationships formed between members are entirely the responsibility of the individuals concerned.

4. Membership Eligibility & Application

To be eligible for membership, applicants must:

• Be at least 18 years of age
• Be a business professional, entrepreneur, investor, executive, or similarly accomplished individual
• Agree to uphold the Club's values of parity, discretion, and professional excellence
• Provide accurate, truthful, and complete information during the application process
• Not be subject to any criminal conviction, regulatory sanction, or disqualification incompatible with Club membership

All applications are reviewed by the admissions committee. We reserve the absolute right to accept or refuse any application without explanation. Submission of an application does not guarantee membership.

5. The 50/50 Parity Charter

The Club operates a binding 50/50 gender parity charter. Membership intake is managed to maintain an equal balance of women and men at all times. Accordingly, the availability of membership places may vary depending on current gender composition, and the Club reserves the right to prioritise applications from the under-represented gender at any time.

6. Member Conduct

All members are expected to conduct themselves in a manner consistent with the Club's values. Members must:

• Treat all other members with respect, professionalism, and absolute discretion
• Not share, publish, or disclose any personal information, conversations, or confidential information concerning other members without explicit consent
• Not use the Club's platform or network for any unlawful, fraudulent, misleading, or harassing purpose
• Not engage in unsolicited commercial communications ("spam") to other members
• Promptly notify the Club of any change in circumstances that may affect their eligibility

Breach of these conduct standards may result in immediate termination of membership without refund, at the Club's sole discretion.

7. Online Business Speed-Dating Sessions

The Club facilitates structured online meeting sessions between members. By participating in these sessions, you acknowledge and agree that:

• Sessions are facilitated by the Club but conducted between members independently
• The Club makes no representation or warranty regarding the suitability, reliability, or conduct of any other member
• Any business agreement, investment, or personal commitment entered into as a result of a Club introduction is solely between the parties concerned
• The Club accepts no liability for the outcome of any introduction, meeting, or transaction
• Sessions must be conducted professionally and in accordance with these Terms

8. Fees & Payment

Membership fees, if applicable, will be communicated at the time of admission. All fees are stated in GBP (£) and are subject to applicable taxes. Fees are non-refundable unless expressly stated otherwise or required by law. We reserve the right to modify membership fees upon reasonable notice.

9. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, design, and layout, is the property of Alexandre Petit Holding Ltd or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or exploit any content from this website without our prior written consent.

10. Disclaimers & Limitation of Liability

This website and the Club's services are provided "as is" without warranties of any kind, express or implied. To the fullest extent permitted by law, Alexandre Petit Holding Ltd shall not be liable for:

• Any indirect, incidental, special, or consequential loss or damage
• Loss of profits, business, revenue, data, or goodwill
• The actions, conduct, or representations of any member
• Any business deal, investment decision, or personal outcome resulting from Club introductions
• Temporary unavailability of the website or online services

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

11. Confidentiality

The Club maintains strict confidentiality regarding its membership, internal processes, and member information. Members agree to maintain equivalent confidentiality with respect to any information they receive about other members, the Club's operations, or its proprietary processes. This obligation survives termination of membership.

12. Termination

Either party may terminate membership with written notice. The Club reserves the right to suspend or terminate membership immediately and without notice in the event of a serious breach of these Terms, conduct unbecoming of a member, or any circumstance that the Club reasonably considers incompatible with the integrity of its community.

13. Third-Party Services

Our membership application is hosted by JotForm Inc. By submitting an application, you are also subject to JotForm's terms of service and privacy policy. We are not responsible for the data practices of third-party service providers beyond our contractual obligations.

14. Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
